Companies

Companies API is the product through which legal persons can be registered to use Dock's products. All sized companies present in Brazil can be accepted.

The onboarding process analyses the branch of economic activity, address where they are established, associated partners, and the company's legal registration time. In this process, several measures are taken to prevent fraud, money laundering, and data leakage.

Approval Process

  • The registration proposal passes through an automatic internal score analysis and, if there is no irregularity or high-risk appointment, it can be approved in a few minutes.
  • Companies not approved automatically go to a Diligence Desk for a deeper analysis.

Step-by-Step


1) Sign the regulatory document: The legal person registration starts with the signature of, at least, the terms and conditions and privacy policy documents, as described on the Regulatory Documents page.

2) Register the company: In this step, the legal person must provide all necessary information about the company, legal representatives, account operators, and the company's partners. When all data is completed and sent, a registration identification code will be returned to continue the process.

Profile Types

There are two types of profiles available for registration:

  • Master: Allowed to perform financial transactions on the company account.
  • Regular: Not allowed to perform financial transactions on the company account.

2.1) Based on regulatory premises, the legal person must send the following information:

2.1.1) About the company:

  • National Registration: Company national registration (CNPJ);
  • Legal Name: Company legal name;
  • Legal Nature: Company legal nature code. Must be a valid legal nature code, i.e. 2135 (MEI/EI), 2305/2313 (EIRELI), etc;
  • Establishment Date: Company date of foundation;
  • Email: Company email address;
  • Revenue: Annual revenue;
  • CNAE: Company main CNAE. Must be a valid CNAE (example: 0111-3/01);
  • Phone Number: Company phone number;
  • Address: Company address.

2.1.2) About the partner with "Master" profile

  • National Registration: Individual's national registration (CPF);
  • Name: Individual's name;
  • Mother Name: Individual's mother name;
  • Birth Date: Individual's birth date;
  • Email: Individual's email address
  • Address: Individual’s address;
  • Phone Number: Individual’s phone number;
  • Profile: Individual’s hierarchical level, which can be "Owner" or "Attorney";
  • Profile Type: If the partner has a master or regular profile. In this case, the profile must be Master.

2.1.3) About the partners with "Regular" profile:

  • National Registration: Individual 's national registration (CPF);
  • Name: Individual's name;
  • Mother Name: Individual's mother name;
  • Birth Date: Individual's birth date;
  • Address: Individual’s address;
  • Phone Number: Individual’s phone;
  • Profile: Individual’s hierarchical level, which can be "Owner" or "Attorney";
  • Profile Type: If the partner has a master or regular profile. In this case, the profile must be Regular.

3) Send the required documents: Now, the legal person must upload all required documents related to the companies and the individuals registered in the previous step. The documents required to complete the registration can vary according to the company's legal nature and the type of profiles registered. See topics 3.1, 3.2, 3.3, 3.4, and 3.5.

Recommendation

Some legal nature's documents are optional. However, it is highly recommended to send these documents to speed up the approbation process.

3.1) Below are the required documents for the Individual Micro EnterpriseIndividual Micro Enterprise - Microempreendedor Individual. (MEI) legal nature (code 2135), Individual EnterpriseIndividual Enterprise - Empresário Individual. (EI) legal nature (code 2135) or Individual Limited Liability CompanyIndividual Limited Liability Company - Empresa Individual de Responsabilidade Limitada. (EIRELI) legal nature (code 2305 or 2313):

3.1.1) For the company:

  • No documents required.

3.1.2) For the operator (partner with "Master" profile):

  • Selfie;
  • Identification document (front and back), which can be the Driver License (CNH) or Identity Card (RG). If the partner is foreign and does not have the required documents, they must send the passport or RNE;
  • Letter of attorney (If the partner isn't the owner of the company).

3.2) Required documents for the Stock CorporationStock Corporation - Sociedade Anônima. (SA) legal nature (code 2046 or 2054)

3.2.1) For the company:

  • Articles of AssociationArticles of Association - In Brazil, it can be the "Contrato Social" or "Ata da Assembléia", depending on the company's legal nature.;
  • Company BylawsCompany Bylaws - Corporate Bylaws. It is called the "Estatuto Social", in Brazil.;
  • or declaration of final beneficiaries signed on company letterhead.

3.2.2) For the operator (partner with Master profile):

  • Selfie;
  • Identification document (front and back, which can be the Driver License (CNH) or Identity Card (RG). If the partner is foreign and does not have the required documents, they must send the passport or RNE;
  • Letter of attorney (If the partner isn't the owner of the company).

3.2.3) For other partners (partners with Regular profile):

  • Identification document (front and back), which can be the Driver License (CNH) or Identity Card (RG). If the partner is foreign and does not have the required documents, they must send the passport or RNE.

3.3) Below are the required documents for the Limited Liability CompanyLimited Liability Company - Sociedade Limitada. (LTDA) legal nature (code 2062), CooperativeCooperative - Cooperativa. (COOP) legal nature (code 2143 or 2330) and other legal natures:

3.3.1) For the company:

  • Articles of AssociationArticles of Association - In Brazil, it can be the "Contrato Social" or "Ata da Assembléia", depending on the company's legal nature..

3.3.2) For the operator (partner with "Master" profile):

  • Selfie;

Company's Directors' Documents

Regarding if the company’s directors are the final beneficiaries, it is requested to send the documents of at least 1 (one) director.

3.5) Below are the required documents for companies sponsored by other companies:

3.5.1) Companies sponsored by an LTDA:

  • Articles of AssociationArticles of Association - In Brazil, it can be the "Contrato Social" or "Ata da Assembléia", depending on the company's legal nature..

3.5.2) Companies sponsored by an SA:

  • Articles of AssociationArticles of Association - In Brazil, it can be the "Contrato Social" or "Ata da Assembléia", depending on the company's legal nature.;
  • Company BylawsCompany Bylaws - Corporate Bylaws. It is called the "Estatuto Social", in Brazil.;
  • or declaration of final beneficiaries signed on company letterhead.

3.5.3) Companies sponsored by an investment fund:

  • Company BylawsCompany Bylaws - Corporate Bylaws. It is called the "Estatuto Social", in Brazil. (it must be registered in a notary's office) where the rights and duties of the quota holders, as well as the aspects related to the social organization of the fund, will be stated.

Pre-validation Inconsistencies

If any inconsistencies were found during pre-validation, an error message will be sent in the API response, and it will be necessary to resend the document.

Company Documents Validation

The company registration is validated by checking its legal nature instead of its establishment format, however we highly suggest to send the proper company documents since our diligence desk may ask for it.

4) Analysis and Approval: All necessary analysis is made, including data veracity check, risk scoring, and some automatic documents examination. If a medium to low-risk score is detected and every provided information is validated, the process is complete. Otherwise, the proposal goes to a manual check.

4.1) The Diligence Desk double checks all data and documents provided to identify what should be corrected to proceed. They may refuse the registration attempt at such time, due to a lack of commercial interest or, to ask for additional documents and data corrections (via e-mail or Zendesk). Otherwise, the registration will be approved.

4.2) Analysis deadline
The deadline for each analysis starts when the registration status becomes WAITING_ANALYSIS.

4.2.1) Analysis deadline for each company legal nature:

  • MEI, EI, EIRELI: 3 days;
  • Others: 7 days.

4.2.2) Main reasons for declined analysis and corrections request:

  • Outdated documents;
  • Lack of letter of attorney;
  • Lack of individuals documents of all company’s partners;
  • Illegible documents;
  • Scanned documents;
  • Non-original documents.

5) Approved Registrations: At the end of the registration process, operators are able to operate a payment account at Dock. See the registration status in the endpoint below:

Additional Information

  • Every legal person registered by Companies already has an account;
  • The product can be set up in order to permit that more than one Natural Person operates the company's account, as long as a legal statement or an article of association grants such permission;
  • It is possible to issue nominal cards for operators by registering them as additionals to the company account (idAccount). Click here for more details about how to create cards for additionals.
